1. Acceptance of Terms

By accessing or using the ModConvert file conversion service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether through our website at convert.modvc.org ("Website"), our API ("API"), or any other means.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.

2. Description of Service

ModConvert provides an online file conversion platform that allows users to:

  • Convert files between various formats including images, documents, videos, audio, spreadsheets, presentations, ebooks, and archives
  • Resize and compress images
  • Compress videos
  • Remove backgrounds from images
  • Access these features through our web interface or programmatic API

The Service supports over 120 file formats including but not limited to: PNG, JPG, JPEG, WebP, GIF, BMP, TIFF, ICO, AVIF, SVG, HEIC, PDF, DOCX, DOC, ODT, RTF, TXT, HTML, MD, MP4, WebM, AVI, MKV, MOV, FLV, WMV, MP3, WAV, OGG, FLAC, AAC, M4A, WMA, XLSX, XLS, CSV, ODS, PPTX, PPT, ODP, EPUB, MOBI, AZW3, ZIP, TAR, GZ, 7Z, RAR, and more.

3. User Accounts and API Access

3.1 Account Registration

To access certain features of the Service, including API access, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 API Keys

API keys are provided for programmatic access to the Service. You are responsible for:

  • Keeping your API keys confidential and secure
  • Not sharing API keys with unauthorized parties
  • Rotating or regenerating keys if you suspect they have been compromised
  • All usage associated with your API keys

We reserve the right to revoke API keys at any time for violations of these Terms or for any other reason at our sole discretion.

3.3 Account Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease, and we may delete your account data.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for lawful purposes in accordance with these Terms. This includes personal, educational, and commercial use subject to the limitations described herein.

4.2 Prohibited Uses

You agree NOT to use the Service to:

  • Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable
  • Upload, transmit, or process content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
  • Upload, transmit, or process any material that contains software viruses, malware, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment
  • Process child sexual abuse material (CSAM) or any content depicting minors in a sexual manner
  • Process content promoting terrorism, violence, or illegal activities
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Use the Service to send unsolicited communications, promotions, or advertisements (spam)
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Resell, sublicense, or redistribute access to the Service without our express written consent
  • Use the Service for any purpose that is unlawful or prohibited by these Terms

4.3 Enforcement

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including without limitation, removing the offending content, suspending or terminating the account, and reporting such users to law enforcement authorities.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights in the content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to process, transform, and temporarily store your content solely for the purpose of providing the Service to you.

5.2 Content Responsibility

You are solely responsible for all User Content you upload to the Service. You represent and warrant that:

  • You own or have the necessary rights, licenses, consents, and permissions to use and authorize us to use all intellectual property rights in your User Content
  • Your User Content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party
  • Your User Content complies with all applicable laws and regulations

5.3 Content Deletion

All uploaded files and converted files are automatically deleted from our servers within 3 minutes of processing. We do not retain copies of your files beyond this period. For client-side processing features (such as the Background Remover), files never leave your device.

5.4 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by ModConvert and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ModConvert. You may not use such marks without our prior written permission.

6. Service Limitations and Fair Use

6.1 Rate Limits

To ensure fair access for all users, the following rate limits apply:

  • API Requests: 100 requests per day per API key (free tier)
  • File Size: Maximum 100 MB per file
  • Bulk Conversion: Maximum 10 files per bulk request
  • Processing Time: Jobs may be terminated if they exceed reasonable processing times

6.2 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be subject to scheduled and unscheduled downtime for maintenance, updates, or other reasons.

6.3 Format Support

While we support a wide range of file formats, we cannot guarantee that all features of specific file formats will be preserved during conversion. Complex documents, specialized fonts, or unusual encoding may result in imperfect conversions.

7. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

We may use third-party services for functionality such as analytics, advertising, and CDN delivery. Your use of the Service is also subject to the terms and privacy policies of these third-party providers.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements
  • File conversions will be accurate, complete, or preserve all data and formatting

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

9. Limitation of Liability

IN NO EVENT SHALL MODCONVERT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Loss or corruption of data during file conversion or processing
  • Any errors, bugs, or inaccuracies in the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ModConvert and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ModConvert operates, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good faith negotiations between the parties. If such negotiations fail, the dispute shall be submitted to binding arbitration.

11.3 Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action. You expressly waive your right to file a class action or seek relief on a class basis.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ModConvert regarding the Service and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by ModConvert.

12.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.

Any notices or communications provided by us under these Terms, including those regarding modifications to these Terms, will be given by posting to the Website and/or, at our discretion, by email to the address associated with your account.
